Master Terms of Service & User Agreement

TradingMaster AI is exclusively a financial technology software provider (SaaS). We provide algorithmic market data analysis, deep neural network forecasting tools, Level 2 orderbook imbalance telemetry, and non-custodial execution orchestration software. SmartEEDigital is NOT a bank, broker-dealer, exchange, investment advisor, portfolio manager, or custodian. Under no circumstances does TradingMaster AI accept, take custody of, hold, or transmit user fiat currencies or digital assets. You retain 100% legal title, full ownership, and exclusive possession of your assets in your personal third-party exchange accounts at all times.

To utilize bot execution features, you may connect your third-party exchange accounts via API keys generated through CCXT-supported exchanges. You explicitly covenant and agree that: • You shall ONLY generate and submit API keys configured with 'Read' and 'Trade / Spot / Futures Order Execution' permissions. • You shall NEVER provide API keys with 'Withdrawal', 'Transfer', or 'Account Modification' permissions enabled. • You bear sole responsibility for maintaining the strict confidentiality of your API keys and login credentials. • SmartEEDigital's automated systems actively scan, detect, and instantly reject any API key found to have withdrawal capabilities enabled.

NO CONTENT, PREDICTION, SIGNAL, TELEMETRY METRIC, ORDERBOOK IMBALANCE INDICATOR, BACKTEST RESULT, MONTE CARLO SIMULATION, OR ALGORITHMIC SUGGESTION PROVIDED ON TRADINGMASTER AI CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. All information is generated automatically through quantitative mathematical models and deep learning algorithms for informational and educational purposes only. Cryptocurrency, perpetual futures, margin, and spot trading carry substantial risk of catastrophic capital loss. You alone are solely responsible for determining whether any trading strategy, asset, or transaction is suitable for your financial condition and risk profile.

You acknowledge and accept the inherent risks of automated high-frequency and algorithmic order routing, including but not limited to: • Network Latency & Queueing: Internet latency, WebSocket desynchronization, and exchange API rate-limiting delays between signal emission and order fill. • Price Slippage & Spread Widening: Market volatility, orderbook depth variations, and illiquid markets causing executed fill prices to differ significantly from trigger prices. • Exchange System Outages: Maintenance downtimes, unexpected API errors, rate-limit bans (HTTP 429), or server crashes originating on third-party exchanges (e.g., Binance, Bybit, OKX, Gate.io, Kraken). SmartEEDigital accepts zero liability for any trading losses, liquidation events, missed entry/exit targets, or failed orders resulting from third-party exchange anomalies or internet connectivity interruptions.

TradingMaster AI incorporates a high-performance Emergency Panic Kill Switch engineered to broadcast parallel order cancellation requests across connected exchange accounts with sub-50ms latency. You understand and agree that: • The kill switch operates as a software utility dependent upon active third-party exchange API responsiveness. • If an exchange is experiencing severe degraded performance or API throttling, cancellation requests may be queued or rejected by the exchange. • Automated flash crash tripwires (>5% drops in <5m) provide defensive halts but do not guarantee complete protection against sudden market-wide liquidation cascades.

All paid subscription plans are billed on a recurring basis. All payments, invoicing, tax calculation (VAT/GST/Sales Tax), and subscription order fulfillment are processed exclusively by our authorized Merchant of Record, Paddle.com (Paddle Payments Ltd / Paddle.com Inc.). Paddle is the legal merchant of record for all customer orders and handles all billing compliance worldwide.

All proprietary neural network architectures, Deep TCN-BiLSTM-Attention algorithms, ONNX model weights, user interface designs, logos, software source code, and telemetry pipelines are the exclusive intellectual property of SmartEEDigital Teknoloji A.Ş. You are strictly prohibited from: • Reverse engineering, decompiling, or attempting to extract proprietary AI model parameters or training weights. • Scraping, redistributing, or reselling real-time WebSocket signals or proprietary Orderbook Imbalance streams without prior written authorization. • Using the platform to develop competing automated trading software products.

You warrant and represent that you will not use TradingMaster AI for any unlawful activities, including market manipulation, spoofing, wash trading, layering, money laundering, terrorist financing, or sanctions evasion. You represent that you are not a resident of, or accessing the platform from, any jurisdiction subject to comprehensive international sanctions (including OFAC, EU, UK, and UN sanctions lists).

THE TRADINGMASTER AI PLATFORM, INCLUDING ALL AI MODELS, WEBSOCKET STREAMS, AND AUTOMATED EXECUTION UTILITIES, IS PROVIDED ON AN 'AS-IS' AND 'AS-AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMART EEDIGITAL TEKNOLOJI A.Ş., ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF TRADING PROFITS, CAPITAL LOSSES, LOSS OF DATA, OR EXCHANGE LIQUIDATIONS. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY SHALL BE STRICTLY CAPPED AT THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO TRADINGMASTER AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of Turkey, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by final and binding individual arbitration administered in accordance with international arbitration rules. YOU AND SMART EEDIGITAL MUTUALLY AGREE THAT ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPLICITLY WAIVE ANY RIGHT TO A TRIAL BY JURY OR CLASS-ACTION LITIGATION.
